General Terms and Conditions of Sales

Preamble

These General Terms and Conditions of Sale (GTCS) govern the services offered by the company Créateur D’Motions – Exclusive Travel, a simplified joint-stock company (SASU) with a share capital of €7,500, registered with the Chambéry Trade and Companies Register under number 992 974 790, whose registered office is located at 373 avenue des Neiges, Les Lanches A4, 73320 Tignes, France, and whose legal representative is Mr. Nicolas Bourdier, residing at the same address. They apply to all sales of stays, trips, or travel services organized or marketed by Créateur D’Motions – Exclusive Travel. Any booking implies full and unconditional acceptance of these GTCS, as well as of any specific conditions set out in the Contract of Stay.

Article 1 – Purpose and scope

These GTCS govern the contractual relationship between Créateur D’Motions – Exclusive Travel (hereinafter referred to as the Organiser) and any natural or legal person (hereinafter referred to as the Participant) registering for a trip, stay or tourist service organised and commercialized by the Organiser. They are established pursuant to Articles L.211-1 et seq. and R.211-1 et seq. of the French Code du Tourisme on the sale of travel and stays. Any booking implies full acceptance of these GTCS and of the specific conditions set out in the Contract of Stay. The Organiser designs and offers package tours combining several distinct services (including accommodation, transport, activities, catering, etc.), as well as individual services, referred to as “single services”, corresponding to a single service sold separately (for example a lesson, an activity, a transfer or any other service). Depending on the nature of the services, the Organiser acts either as a tour operator, when composing and selling a complete package under its own responsibility, or as an intermediary, when marketing a single service on behalf of a partner provider (such as an instructor, guide, accommodation provider, carrier or other professional), acting then as an agent in accordance with the intermediation regime referred to in Article 256 of the French General Tax Code. The Organiser may also offer the rental of equipment or gear necessary for the realization of the trips. These rental services are independent from the travel packages and are subject to the standard VAT rate of 20%. The rented equipment remains the exclusive property of the Organiser; the Participant is fully responsible for it during the entire rental period, from delivery until return. In the event of loss, theft, breakage or deterioration of the equipment, the Participant agrees to reimburse its replacement value, as stated in the equipment rental sheet provided on the day of the rental. The applicable value-added tax (VAT) regime for each of these situations is specified in Article 4.

Article 2 – Registration and statutory guarantees

The Organiser is registered in the French National Register of Travel and Stay Operators (Atout France). In accordance with applicable law, the agency has:
• a financial guarantee with APST;
• Professional Civil Liability insurance (Tourism) taken out with LIZA Assurances;
Full contact details for these organisations appear in Annex 1 – Legal information and insurance.

Article 3 – Booking and registration

Registration becomes final upon receipt of the signed Contract of Stay and payment of a standard deposit of €500 per Participant. Where the destination or the nature of the stay requires specific advance financial commitments, a higher deposit may be stipulated in the Contract of Stay. The amount stated in the Contract of Stay shall then apply. The balance is due 60 days before departure. Any booking made fewer than 60 days before departure must be paid in full at registration. Signature of the Contract of Stay constitutes full and unconditional acceptance of these GTCS.

Article 4 – Prices, invoicing and VAT

Prices are stated in euros, inclusive of all taxes. They include the services listed in the Road Book and the Contract of Stay, and exclude personal expenses, drinks, tips and any optional insurance.

The Value Added Tax (VAT) regime varies according to the nature of the services provided:
• For package tours or stays combining several services, VAT is applied according to the special VAT margin scheme provided for in Article 266, 1-e of the French General Tax Code and Articles 306 to 310 of Directive 2006/112/EC. In this case, VAT is not deductible and is not shown separately on invoices.
• For services sold on behalf of partner providers (“single services”), the Organiser acts as an intermediary (agent), and VAT is due only on the commission received, in accordance with the intermediation regime referred to in Article 256 of the French General Tax Code.
• For the rental or sale of goods and equipment, VAT is applied under the standard rate of 20% (regular VAT regime). Invoices are issued according to the VAT regime applicable to each type of service. The distinctions between VAT on margin, VAT on commission, and standard VAT are clearly indicated on all invoices issued by the Organiser.

Prices are determined at the time of booking; any obvious material error (typing, calculation, or conversion) may be corrected without incurring the Organiser’s liability.

Article 5 – Payment terms

Payments may be made by bank transfer or any other method accepted by the Organiser. For international bank transfers, any transfer, currency conversion or bank charges are entirely covered by the Participant. If the balance remains unpaid after the due date and after written notice from the Organiser, the Organiser may terminate the booking, with the cancellation fees set out in Article 6 then applying.

Article 5 bis – Intermediated Services Executed Over Time

Certain services marketed by the Organiser are provided by independent third-party service providers and are performed over a defined period of time. In such cases, the Organiser acts exclusively as an intermediary in the marketing of these services.
Where the price of such services is paid in instalments or on a periodic basis, each period of service commenced shall be deemed due and non-refundable, including in the event of partial or non-use of the service by the Participant.
In the event of early termination of the project for reasons beyond the control of the Organiser, any services already performed or committed shall remain payable. Payments relating to periods not yet commenced shall not be invoiced.
By way of exception, in the event of a definitive inability to continue the project resulting from a serious and duly justified event (including, but not limited to, serious injury, incapacitating illness or death of the Participant), the service may be terminated at the end of the current period. No retroactive refund of amounts already paid shall be due.

Certain intermediated services may be performed wholly or partly remotely and independently by the Participant, who remains solely responsible for complying with the instructions provided by the independent third-party service provider and for their effective participation.

Article 6 – Cancellation or change by the Participant

Any cancellation must be notified in writing (email or registered letter). The fees retained are calculated as follows:
• more than 60 days before departure: the deposit amount stated in the Contract of Stay;
• from 60 to 30 days inclusive: 50% of the total amount;
• from 29 to 15 days inclusive: 75% of the total amount;
• less than 15 days: 100% of the total amount.

The termination fees set out in this Article are appropriate and justifiable having regard to the date of cancellation, the organisation and preparation services already performed, the financial commitments made for the stay, any cost savings achieved and any income that may result from the alternative use of the travel services concerned. At the Participant’s request, the Organiser shall provide justification for the amount of the termination fees applied. In the event of cancellation by the Participant, the deposit shall be applied toward the cancellation fees due and shall remain payable, subject to the cases in which applicable law provides for a full refund. The deposit contributes to covering the organisation and preparation services already performed, as well as the financial commitments made for the stay. If the applicable cancellation fees exceed the amount of the deposit, the Participant remains liable for the balance. The cancellation fees applicable to a withdrawing Participant remain due even where their withdrawal reduces the group below the minimum number required for the stay. If the Organiser subsequently cancels the stay for this reason, all sums paid by the Participants who remained registered shall be fully refunded. The Participant may transfer the Contract to a third party meeting the same conditions for participation in the stay, provided that the Organiser is informed, by a means allowing acknowledgement of receipt, no later than 7 days before departure. The transfer is not subject to the Organiser’s prior authorisation. The transferor and the transferee are jointly and severally liable for payment of the outstanding balance and for any fees, charges or other additional costs arising from the transfer. The Organiser shall inform the transferor of the actual costs of the transfer and provide evidence of those costs. Such costs shall not be unreasonable and shall not exceed the costs actually incurred by the Organiser. The provisions of this article apply exclusively to travel services and tourist services with a defined departure date. Intermediated services performed over a period of time are governed by the specific provisions set out in Article 5 bis.

Article 7 – Cancellation or change by the Organiser

The Organiser may terminate the Contract if the minimum number of Participants stated in the Contract of Stay is not reached or if unavoidable and extraordinary circumstances prevent the performance of the package.

Where the Contract is terminated as a result of unavoidable and extraordinary circumstances, the Organiser shall inform the Participant without undue delay before the beginning of the stay.
Where cancellation results from insufficient participation, the Participant will be informed no later than:
• 20 days before departure for a stay lasting more than 6 days;
• 7 days before departure for a stay lasting between 2 and 6 days;
• 48 hours before departure for a stay lasting less than 2 days.
All payments made by the Participant will be refunded within 14 days following termination of the Contract. The Participant may alternatively accept a postponement or a credit note but is under no obligation to do so.
No additional compensation is payable where cancellation results from insufficient participation or unavoidable and extraordinary circumstances, subject to any mandatory statutory right.
Services booked directly by the Participant and not included in the package remain the Participant’s responsibility.
Where possible, the Organiser may propose maintaining the stay with an adjustment to the price or services. Any such adjustment requires the Participant’s express acceptance.
The Organiser may adapt the itinerary or services where necessary for safety, weather or logistical reasons. Where a significant part of the agreed services cannot be provided, suitable alternatives will be offered in accordance with applicable law.

Article 8 – Liability

In accordance with Article L.211-16 of the Code du Tourisme, the Organiser is responsible for the proper performance of the agreed services, except in cases of fault by the Participant, a third party unconnected with the provision of the services, or unavoidable and extraordinary circumstances. The Organiser coordinates services performed by independent service providers, including accommodation providers, carriers, caterers and qualified outdoor professionals, and verifies their insurance and professional qualifications where applicable. The Participant acknowledges having been informed of the nature of the activities offered and their physical requirements, undertakes to follow safety instructions and to have adequate fitness.

Article 9 – Insurance

The Organiser is covered by:
• LIZA Assurances for Professional Civil Liability – Tourism;
• APST financial guarantee.
Each Participant must hold personal insurance covering medical expenses, rescue, evacuation and repatriation appropriate to the activities involved in the stay. Cancellation, luggage and trip interruption insurance are strongly recommended. Complementary policies may be proposed on request; their terms and exclusions are available on request. The outdoor activities are supervised by appropriately qualified and insured professionals holding the diplomas, professional cards and authorisations required for the activities concerned.
The Organiser may appoint or replace a supervising professional where necessary, provided that the replacement professional holds equivalent qualifications and insurance and is able to provide the agreed services under comparable conditions.
The use of an independent professional does not affect the Organiser’s responsibility for the proper performance of the package under applicable law.

Article 10 – Physical and medical conditions

Before registering, each Participant must ensure that they have the physical fitness, technical ability and state of health required for the activities described in the Road Book.
Any medical condition, treatment, disability or specific requirement that may materially affect safe participation must be disclosed before registration. Unrelated medical information does not need to be disclosed.
Relevant health information will be treated confidentially and used only for safety, compatibility assessment or emergency assistance. It may be communicated to the supervising professional, assistance provider or emergency services where necessary.
A cancellation resulting from illness or injury remains subject to Article 6, without prejudice to any mandatory statutory right. Any insurance reimbursement depends on the terms and exclusions of the Participant’s policy.
Participation may be refused or interrupted where a Participant’s health, physical condition, equipment or behaviour creates a serious risk to themselves or the group.

Article 11 – Inherent risks of outdoor activities

The stays include outdoor physical activities, in specific or non-specific environments as defined in Article R.212-7 of the Code du sport. These activities may involve objective risks linked in particular to weather conditions, terrain, the natural environment or the Participant’s fitness. Each Participant acknowledges having been informed and accepts these risks knowingly. They undertake to comply with safety instructions given by professional leaders. The Participant is responsible for damage resulting from their imprudent behaviour, deliberate misconduct or failure to follow safety instructions.
Acceptance of the risks inherent in outdoor activities does not exclude or restrict any mandatory liability of the Organiser or its service providers.
Safety, weather or unavoidable and extraordinary circumstances may require an activity or itinerary to be modified, suspended or cancelled. The resulting consequences will be handled in accordance with the Contract, these GTCS and applicable law.

Article 12 – Complaints and dispute resolution

The Participant must inform the Organiser without undue delay of any lack of conformity identified during the stay so that an appropriate remedy may be considered.
After the stay, any complaint should preferably be submitted in writing, with supporting evidence, within 30 days to:
Créateur D’Motions – Exclusive Travel - 373 avenue des Neiges, Les Lanches A4 -
73320 Tignes, France
Email:
createur.d.motions@gmail.com
This recommended 30-day period does not affect any mandatory statutory limitation period.
If no amicable solution is reached, the Participant may refer the matter, subject to the applicable conditions, to the Médiateur du Tourisme et du Voyage:
www.mtv.travel.

Article 13 – Personal data

Personal data are processed where necessary for registration, payment, organisation and performance of the stay, communication, group safety, assistance, insurance and compliance with the Organiser’s legal obligations. Depending on the purpose concerned, the processing is based on the performance of the contract, compliance with a legal obligation, the legitimate interests of the Organiser, the protection of vital interests or the Participant's consent where required.
Where necessary, relevant data may be transmitted to the service providers concerned, including accommodation providers, carriers, activity providers, outdoor professionals, insurers, assistance providers and emergency services. Only the information necessary for the relevant purpose will be transmitted.
Personal data are retained only for the period required for their intended purpose and for compliance with applicable legal, accounting, insurance and contractual obligations.
The Participant may exercise their applicable rights of access, rectification, erasure, restriction, objection and portability by contacting
createur.d.motions@gmail.com. They may also lodge a complaint with the CNIL: www.cnil.fr. Any authorisation concerning photographs or videos is requested separately in the Contract of Stay.

Where authorisation is granted, photographs and videos may be used only for the purposes and on the media identified in the Contract of Stay. Consent may be withdrawn at any time for future use by writing to the Organiser. Withdrawal does not affect any use lawfully made before the request or materials already printed or distributed.

Article 14 – Pre-contractual information, travel formalities and accessibility

Before the Participant is bound by the Contract, the Organiser provides the required pre-contractual information through the Road Book, the Contract of Stay and these GTCS, including Annex 2 – Standard Information Form for Package Travel Contracts.
The Organiser provides general information concerning the passport, visa, electronic travel authorisation and health requirements applicable to the destination. Where necessary, additional information relevant to the Participant’s nationality or personal situation is provided separately.
Each Participant remains responsible for checking and holding the documents required according to their nationality, residence status, travel route and personal circumstances.
Any inability to participate resulting from missing or invalid documents attributable to the Participant will be treated as a cancellation under Article 6, without prejudice to any mandatory statutory right.
The general suitability of each stay for persons with reduced mobility is stated in the Contract or Road Book. Any disability, medical condition, reduced mobility or specific requirement affecting participation must be disclosed before registration. A specific requirement forms part of the Contract only where expressly accepted in writing by the Organiser.
The Participant must report any lack of conformity identified during the stay without undue delay. The Organiser will provide appropriate assistance to any Participant in difficulty in accordance with applicable law.

Article 15 – Governing law and jurisdiction

The Contract is governed by French law.
If no amicable solution is reached, the dispute will be submitted to the courts having jurisdiction under the applicable rules of private international law and consumer protection law.
Nothing in this Article deprives a Participant acting as a consumer of any mandatory protection or jurisdictional right applicable to them.

Article 16 – Acceptance of the conditions

Signature of the Contract of Stay constitutes full and unconditional acceptance of these GTCS, as well as of the specific conditions attached to the detailed Road Book.

The combination of travel services offered to you constitutes a package within the meaning of Directive (EU) 2015/2302 and Article L.211-2 II of the French Code du Tourisme. You will therefore benefit from all European Union rights applicable to packages, as transposed into the French Code du Tourisme. Créateur D’Motions – Exclusive Travel will be fully responsible for the proper performance of the package as a whole. In addition, as required by law, Créateur D’Motions – Exclusive Travel has protection in place to refund your payments and, where transport is included in the package, to ensure your repatriation in the event of its insolvency.

ESSENTIAL RIGHTS UNDER DIRECTIVE (EU) 2015/2302, AS TRANSPOSED INTO THE FRENCH CODE DU TOURISME

• Travellers will receive all essential information concerning the package before concluding the package travel contract.

• The Organiser and the retailer are responsible for the proper performance of all travel services included in the contract.

• Travellers will be provided with an emergency telephone number or the details of a contact point through which they can reach the Organiser or the retailer.

• Travellers may transfer their package to another person, subject to reasonable notice and, where applicable, the payment of additional costs.

• The price of the package may be increased only if specific costs increase, for example fuel prices, and only where this possibility is expressly provided for in the contract. In any event, the price may not be changed during the twenty days preceding the beginning of the package. If the increase exceeds 8% of the price of the package, the traveller may terminate the contract.

• Where the Organiser reserves the right to increase the price, the traveller is entitled to a price reduction if the relevant costs decrease.

• Travellers may terminate the contract without paying termination fees and receive a full refund of all payments made if an essential element of the package, other than the price, is significantly changed. If, before the beginning of the package, the professional responsible for the package cancels it, travellers may obtain a refund and compensation, where appropriate.

• Travellers may terminate the contract without paying termination fees before the beginning of the package in the event of extraordinary circumstances, for example where serious security problems at the destination are likely to affect the package.

• In addition, travellers may terminate the contract at any time before the beginning of the package, subject to the payment of appropriate and justifiable termination fees.

• If, after the beginning of the package, significant elements of the package cannot be provided as agreed, suitable alternative arrangements must be offered to travellers at no additional cost. Travellers may terminate the contract without paying termination fees where the services are not performed in accordance with the contract, this substantially affects the performance of the package and the Organiser fails to remedy the problem.

• Travellers are also entitled to a price reduction and/or compensation for any failure to perform or improper performance of the travel services.

• The Organiser or the retailer must provide assistance if a traveller is in difficulty.

• If the Organiser or the retailer becomes insolvent, payments made by travellers will be refunded. If the Organiser or the retailer becomes insolvent after the beginning of the package and transport is included in the package, the travellers’ repatriation is guaranteed.
